SUBSCRIPTIONS AND AUTO-RENEWAL
By subscribing to certain products on our Site, you agree to an automatically renewing subscription. The terms of this auto-renewal, including price, billing frequency, and cancellation procedures, will be clearly presented to you before you subscribe.
When you select a subscription at checkout, you authorize us to repeatedly charge your payment method at the current rate. You will be notified 7 days before each renewal, however, your prior approval is not required for each recurring charge. This recurring billing will continue until you cancel your subscription.

In accordance with California law, you may cancel your subscription at any time before your next billing cycle by following the cancellation process in your account settings. - A statement that you have a good-faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
- A declaration, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on behalf of the owner.
TERMS OF USE AND TERMINATION
These Terms of Use remain in effect for as long as you use the Site.
WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS, WE RESERVE THE RIGHT—AT OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY—TO DENY ACCESS TO OR USE OF THE SITE AND THE MARKETPLACE OFFERINGS TO ANY INDIVIDUAL FOR ANY REASON OR NO REASON AT ALL. THIS INCLUDES, WITHOUT LIMITATION, BLOCKING ACCESS BY SPECIFIC IP ADDRESSES OR TERMINATING ACCESS DUE TO A BREACH OF ANY REPRESENTATION, WARRANTY, COVENANT, OR APPLICABLE LAW OR REGULATION.
We may, at any time and without notice, suspend or terminate your account, access to the Site, or your use of the Marketplace Offerings, and we may remove any content or information you have submitted.
If your account is suspended or terminated for any reason, you are strictly prohibited from creating a new account—under your own name, a false or assumed name, or on behalf of a third party.
In addition to terminating your access, we reserve the right to pursue any legal remedy available to us, including civil, criminal, or injunctive relief.
MODIFICATIONS AND INTERRUPTIONS
We reserve the right to modify, remove, or update any part of the Site or the Marketplace Offerings at any time and for any reason, at our sole discretion, and without prior notice. This includes changes to content, features, services, or pricing. While we may update information on the Site periodically, we are under no obligation to do so.
We also reserve the right to suspend or discontinue, in whole or in part, the Site or the Marketplace Offerings without notice and without liability to you or any third party.
We do not guarantee uninterrupted access to the Site or the Marketplace Offerings. Technical issues, maintenance, or other unforeseen circumstances may result in downtime, errors, or delays. You acknowledge and agree that we are not liable for any loss, damage, or inconvenience resulting from such interruptions or from your inability to access or use the Site or its offerings during such periods.
Nothing in these Terms shall be interpreted as requiring us to maintain, support, or continue providing the Site or the Marketplace Offerings, or to deliver any updates, fixes, or enhancements.
GOVERNING LAW
These Terms of Use and your use of the Site, and the Marketplace Offerings are governed by and construed in accordance with the laws of the State of Texas applicable to agreements made and to be entirely performed within the State of Texas, without regard to its conflict of law principles.
DISPUTE RESOLUTION
Informal Resolution
To help resolve disputes efficiently and minimize costs, you and Chiral Balance (each a "Party," and together, the "Parties") agree to attempt to resolve any dispute, claim, or controversy related to these Terms of Use—including but not limited to claims arising under the Americans with Disabilities Act (each a "Dispute," and collectively, the "Disputes")—through informal negotiations for at least thirty (30) days before initiating arbitration. Informal negotiations will begin upon written notice from one Party to the other.
Binding Arbitration
By using the Site or purchasing our products, you agree that unresolved Disputes (except those specifically excluded below) will be submitted to final and binding arbitration, waiving your right to a jury trial and participation in class actions. Arbitration will be conducted in accordance with the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, if applicable, the AAA’s Supplementary Procedures for Consumer-Related Disputes ("AAA Consumer Rules"), which are available at www.adr.org.
Arbitration may be conducted in person, by phone, online, or via document submission, as determined by the arbitrator. The arbitrator shall issue a written decision, with reasoning provided upon request. The arbitrator must apply applicable law, and an award may be challenged if the arbitrator fails to do so.
Your arbitration costs and share of arbitrator compensation shall follow the AAA Consumer Rules; if deemed excessive, Chiral Balance will cover all related arbitration fees and expenses. Except as required by AAA rules or applicable law, arbitration will take place in Clark County, Nevada. Either Party may go to court solely to compel arbitration, stay proceedings pending arbitration, or confirm, modify, vacate, or enforce an arbitration award.
If, for any reason, a Dispute proceeds in court rather than arbitration, the Parties agree that such litigation must be initiated and maintained in the state or federal courts located in Clark County, Nevada. The Parties waive any objections to jurisdiction, venue, or forum non conveniens in those courts. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act (UCITA) do not apply.
Any claim or cause of action related to use of the Site must be filed within one (1) year after it arises, or it is permanently barred. If a court finds any part of this arbitration provision illegal or unenforceable, that portion will be severed, and the remainder will still apply, with the Dispute handled exclusively by a court in Clark County, Nevada, as agreed.
Restrictions
To the fullest extent permitted by law, the Parties agree that:
(a) arbitration will be limited to the individual Dispute between the Parties;
(b) no arbitration may be combined with another proceeding;
(c) there is no right to arbitrate on a class-action basis or use class procedures; and
(d) no Dispute may be brought in a representative capacity on behalf of others or the general public.
Exceptions to Informal Negotiations and Arbitration
The following types of Disputes are excluded from the informal negotiation and arbitration provisions above:
(a) any Disputes relating to the enforcement, protection, or validity of intellectual property rights;
(b) any claims involving theft, piracy, unauthorized use, or invasion of privacy; and
(c) any requests for injunctive relief. If a court finds any part of this section unlawful or unenforceable, that portion will be severed and the remaining terms will remain in effect, with the relevant Dispute resolved in court as specified above.
Option to Litigate
Notwithstanding the arbitration requirements, Chiral Balance reserves the right to initiate litigation at any time if it reasonably believes that your actions may cause harm to the company, its employees, or its officers. This includes seeking monetary damages and injunctive relief.
Governing Law and Jurisdiction
Any legal action between you and Chiral Balance—including issues related to the validity, interpretation, enforcement, or breach of these Terms—must be brought exclusively in the state or federal courts located in Las Vegas, Nevada. These Terms shall be governed by and interpreted in accordance with the internal laws of the State of Nevada, without regard to conflict of law principles.
Service of Process
Legal notices or service of process may be sent via certified or registered mail (or a similar method), with postage prepaid, to the appropriate Party. Nothing herein limits the right to serve process in another manner permitted by law.
Interpretation and Severability
These Terms of Use will be interpreted fairly, without presumption for or against either Party as the drafter. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
CORRECTIONS
The Site may, from time to time, include typographical errors, inaccuracies, or omissions concerning the Marketplace Offerings, such as product descriptions, pricing, availability, or other related details. We reserve the right to correct any such errors, inaccuracies, or omissions and to modify or update the information on the Site at any time, without prior notice.
DISCLAIMERS
The Site and its services are provided on an “as is” and “as available” basis. By using the Site, you acknowledge and agree that your use is solely at your own risk. To the fullest extent permitted by applicable law, we disclaim all warranties—express or implied—related to the Site and your use of it. This includes, but is not limited to, any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We make no guarantees or representations regarding the accuracy or completeness of the Site’s content or the content found on any websites linked to the Site. We assume no responsibility or liability for:

Chiral Balance may operate and control the Site from various geographical locations. We make no representation that the Site or any of its features are appropriate or available for use in all locations. Access may vary or be restricted depending on your jurisdiction.
INTERACTION WITH THIRD PARTIES
Chiral Balance does not actively screen individuals who access or use the Site and who may engage with you (collectively referred to as “Third Parties”). Any interaction between you and such Third Parties is entirely at your own risk. This includes, but is not limited to, reliance on any advice, services, or information they may offer.
You acknowledge that Chiral Balance bears no responsibility or liability for any harm, loss, or damage arising from your dealings with any Third Party. We make no warranties or representations, whether express or implied, concerning the reliability, accuracy, or safety of any Third Party.
LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE, OR ANY OF OUR DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES—INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, REVENUE, DATA, OR OTHER INTANGIBLE LOSSES—ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IF SUCH LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS UNDER APPLICABLE LAW.
INDEMNIFICATION
You agree to indemnify, defend, and hold harmless us and our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees from any loss, damage, liability, claim, or demand (including reasonable attorneys’ fees and related expenses) made by any third party arising from or related to:
- Your submissions or contributions to the Site;

If any part of these Terms is found to be unlawful, void, or unenforceable, that specific provision shall be deemed severable and will not affect the validity or enforceability of the remaining provisions.
No agency, partnership, joint venture, or employment relationship is created between you and us through your use of the Site or by these Terms of Use. You agree that these Terms shall not be interpreted against us simply because we drafted them.
You also waive any defenses based on the electronic format of these Terms of Use or the absence of a physical signature by either party.
